Terms of Service

These Terms govern your use of vslbybaran.com (the "Site") and the video production services provided by Baran P., operating as VSL by Baran ("I", "me", "my"). By using the Site or engaging my services, you agree to these Terms.

The services

I produce Video Sales Letters and related assets, both AI-powered and traditionally edited, along with test variations and revisions as agreed for each project. Scope, timeline and price are set out in the proposal for your specific project. Communication typically happens on a private Slack channel and versions are reviewed on Frame.io.

Proposals, payment and scope

Each engagement is defined by an individual proposal. Work is milestone-based, and payment is made through the platforms I use, such as Upwork or Payoneer, as agreed. Anything outside the agreed scope may require a revised timeline and quote. Timelines are good-faith estimates and can be affected by feedback speed and the materials you provide.

Your responsibilities

You agree to provide accurate briefs and materials, to hold the necessary rights and permissions for any scripts, footage, logos, product information or other assets you supply, and to give timely feedback and approvals so the project can move forward.

Deliverables and ownership

Upon full payment for a project, you own the final delivered VSL(s) and variations produced for you and may use them for your own marketing and advertising. Until payment is complete, all work product remains my property.

Proprietary production system

The finished videos are yours. The system that makes them is not. My production system, including its software, workflows, AI pipelines, prompt libraries, templates, tooling, configurations, techniques and know-how (the "System"), is my exclusive, proprietary and confidential intellectual property. It is licensed for the sole purpose of producing your project and is not sold, assigned or transferred to you.

You agree that you will not, directly or indirectly, copy, reproduce, reverse-engineer, decompile, extract, resell, sublicense, or otherwise attempt to derive, recreate or exploit the System, its components, or the underlying process, whether from the deliverables or from any working files, previews or communications. No rights in or to the System are granted beyond the finished deliverables described above.

Third-party models, software, stock assets, music and fonts used in production remain subject to their own licenses. Where a deliverable includes third-party licensed elements, your right to use them follows those licenses.

Portfolio

Unless we agree otherwise in writing, I may display non-confidential examples of completed work in my portfolio and marketing.

Confidentiality

Each of us agrees to keep the other's non-public business information confidential and to use it only for the purpose of the project.

No guarantee of results

I bring craft, experience and a testing-first process to every project, but advertising results depend on many factors outside my control, your offer, price, traffic and market. Services are provided on an "as is" basis, and I do not guarantee any specific sales, conversion rates or financial outcome.

Limitation of liability

To the maximum extent permitted by law, my total liability arising out of or relating to a project or these Terms will not exceed the fees you paid me for that project, and I will not be liable for any indirect, incidental or consequential losses, including lost profits or revenue.

Termination

Either of us may end an engagement in line with the proposal. On termination, you pay for work completed and approved up to that point, and the ownership and System terms above continue to apply.

Governing law

These Terms are governed by the laws applicable at my principal place of business, without regard to conflict-of-law rules. Where a dispute cannot be resolved amicably, it will be handled by the competent courts of that jurisdiction.

Changes to these Terms

I may update these Terms from time to time. The "last updated" date above reflects the current version, and continued use of the Site or my services means you accept the updated Terms.
